Terms and Conditions

1. Introduction

These Terms & Conditions (“Terms”) govern the services (“Services”) provided by Boostworks (“Company,” “we,” “our”) to the client (“Client,” “you”). By purchasing or using our Services, you agree to be bound by these Terms.

2. Scope of Services

Boostworks provides marketing, customer service, automation, operations support, and virtual staffing services customized for each Client. Deliverables and timelines are outlined in each service plan or proposal.

3. Payment Terms

• All marketing and service plans are billed monthly in advance unless otherwise stated.

• Website builds and one-time projects are billed at the rates described on the invoice or proposal.

• Late payments may result in paused services until the account is brought current.

4. Client Responsibilities

Clients agree to:

• Provide timely information and approvals needed for Boostworks to deliver services.

• Maintain access to required tools, platforms, or accounts.

• Communicate respectfully and professionally with Boostworks staff.

5. Non-Solicitation & Anti-Poaching Clause

5.1 Non-Solicitation

The Client agrees that during the term of these Terms and for 24 months after the termination of Services, the Client will not directly or indirectly:

• Hire,

• Attempt to hire,

• Solicit,

• Induce,

• Or encourage

any employee, contractor, virtual assistant, or service provider of Boostworks to leave their position or to work for the Client directly or indirectly.

5.2 Liquidated Damages for Poaching

The Client acknowledges that recruiting, training, and managing staff represent substantial investments by Boostworks and that damages from employee poaching are difficult to measure.

Accordingly, if the Client hires or contracts with any Boostworks staff member in violation of this section, the Client agrees to pay Boostworks a liquidated damages fee of $5,000 per individual.

This amount is:

• Agreed upon as a reasonable estimate of resulting damages

• Not a penalty

• Immediately due upon invoice

5.3 Non-Circumvention

The Client may not attempt to circumvent payment to Boostworks by engaging staff through third parties, shell companies, or separate personal arrangements. Such actions fall under the same liquidated damages provision.

6. Term & Cancellation

• Services continue on a month-to-month basis unless the selected plan states otherwise.

• Either party may cancel with 30 days’ written notice.

• Work already completed is non-refundable.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information, business practices, and internal processes.

8. Intellectual Property

All content, creative assets, automation flows, code, and documents created by Boostworks remain the property of Boostworks unless explicitly transferred in writing.

9. No Guarantees

Boostworks does not guarantee specific revenue results, growth levels, or performance outcomes. Marketing and operations results vary based on external factors.

10. Limitation of Liability

Boostworks shall not be liable for indirect, incidental, or consequential damages. Liability is limited to amounts paid by the Client in the past 30 days.

11. Governing Law

These Terms are governed by the laws of the State of Texas.

12. Acceptance

By purchasing or using Boostworks services, the Client acknowledges and agrees to these Terms.
